In these terms, “I”, “me” or “my” means Emma Hopkinson Ltd. “You” means the client engaging me.

How work is agreed
Work is agreed in writing, usually by email, proposal, booking confirmation, or similar written instruction. By confirming a booking, approving a proposal, or instructing me to start work, you agree to these Terms of Business.

Work may be agreed on:

  • a time or day-rate basis,

  • a fixed fee for agreed deliverables, or

  • another basis we agree in writing

Scope of work
The scope of work is defined by our written agreement, proposal, booking, or instructions.

  • Where work is booked on a time or day-rate basis, the scope is the provision of copywriting and related services during the agreed time.

  • Where work is agreed by deliverables, the scope is the creation of those deliverables as described.

  • If requirements change or expand, this may require additional time, fees, or a revised agreement.

Fees and payment
Fees are charged on the agreed basis (time, deliverables, or project fee). 

  • Time-based work is charged only for time booked and worked. 

  • Invoices are issued after work is carried out, unless agreed otherwise.

  • Payment terms are 30 days from the invoice date.

  • Late payments may be charged interest in line with UK late payment legislation.

Edits and amends
Edits, revisions, and amends are not included unless expressly agreed in writing. Where you request changes, reviews, or amendments after initial delivery, this work is carried out only once additional time has been booked and confirmed. Amends are charged on my prevailing hourly or day rate, unless we agree a different basis in writing.

Client responsibilities
You are responsible for the accuracy, legality, and substantiation of any information, claims, or instructions you provide. This includes factual content, product or service claims, and regulatory or compliance statements. You are responsible for reviewing and approving all copy before it is published or used.

Intellectual property
Once full payment has been received, you are granted ownership of the final agreed copy or deliverables for their intended use. I retain ownership of drafts, working materials, concepts, and unused content. Unless you ask otherwise in writing, I may reference completed work in my portfolio.

Confidentiality
I will treat confidential information you share with me as confidential and will not disclose it to third parties, except where required by law or where reasonably necessary to perform the services. I may use third-party tools and services to support my work, and will take reasonable care to avoid unnecessary disclosure of confidential or identifying information when doing so. This does not apply to information that is already public or was already known to me.

Liability
I will carry out my work with reasonable care and skill. Fees are payable for time and work carried out, regardless of outcome or subjective opinion, and are non-refundable once work has been performed. I am not responsible for indirect or consequential losses, loss of profits, or loss of business. My total liability to you for any claim arising from the work is limited to the fees paid for the relevant work or booking.

Third-party use
I am not responsible for how the work is used, edited, implemented, or published by you or third parties. This includes developers, publishers, platforms, printers, or regulators.

Ending work
Either of us may end an engagement with reasonable notice. You agree to pay for all work carried out up to the point the engagement ends.

Cancellations

Where work is booked on a time or day-rate basis, bookings cancelled with less than 48 hours’ notice may be chargeable. This reflects the difficulty of rebooking cancelled time at short notice. I may, at my discretion, waive or reduce cancellation charges

Governing law
These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
